1. Acceptance of Terms

By downloading, installing, or using DayLock ("the App"), you agree to these Terms of Use ("Terms"). If you do not agree, do not use the App.

The App is provided by Simdan Labs Ltd ("we", "our", "us"), a company registered in the United Kingdom.

2. Description of Service

DayLock is a time-blocking and accountability planner for iOS and Android. The App allows you to:

• Create and manage time blocks with alarm-based check-ins
• Track your daily completion rates and streaks
• Use AI-powered day planning (Pro feature)
• Create templates and recurring schedules
• Import calendar events
• Back up and restore your data

3. Eligibility

You must be at least 13 years old to use DayLock. If you are under 18, you confirm that you have your parent's or guardian's permission to use the App.

4. User Accounts

DayLock does not require an account to use. Your data is stored locally on your device. If you use cloud backup or Pro features, authentication may be required through Apple or Google.

5. Subscriptions and Payments

5.1 Free tier

DayLock offers a free tier with core features including unlimited time blocks, alarm check-ins, templates, recurring blocks, calendar import, and 7-day analytics.

5.2 DayLock Pro

DayLock Pro is a paid subscription that unlocks additional features including AI Day Planner, unlimited analytics history, and data export. The current price is £7.99/month.

5.3 Free trial

New subscribers may be eligible for a 7-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically renew and you will be charged.

5.4 Billing

All payments are processed through the Apple App Store or Google Play Store. We do not handle payment information directly. Billing terms, refund policies, and subscription management are governed by the respective app store's terms.

5.5 Cancellation

You can cancel your subscription at any time through your device's app store settings. Cancellation takes effect at the end of your current billing period. You will retain access to Pro features until that date. No partial refunds are provided for unused portions of a billing period.

5.6 Price changes

We may change subscription prices from time to time. Price changes will not affect your current billing period. You will be notified of price changes before they take effect and can cancel if you disagree.

6. Acceptable Use

You agree not to:

• Reverse-engineer, decompile, or disassemble the App
• Attempt to bypass subscription restrictions or payment mechanisms
• Use the AI Day Planner to generate content unrelated to scheduling or day planning
• Use the App for any illegal purpose
• Interfere with or disrupt the App's services or infrastructure
• Resell, redistribute, or sublicense the App

7. AI Day Planner

The AI Day Planner feature is provided as a scheduling assistant. You acknowledge that:

• AI-generated plans are suggestions and may not be optimal for your situation
• You are responsible for reviewing and approving all AI-generated blocks before applying them
• The AI is scoped to day planning and scheduling — it is not a general-purpose assistant
• AI usage may be subject to daily limits, even for Pro subscribers
• We may change the AI provider or model at any time without notice

8. Intellectual Property

The App, including its design, code, branding, icons, sounds, and all content, is owned by Simdan Labs Ltd and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the App for personal, non-commercial purposes.

Your schedule data, blocks, and plans remain your property. We claim no ownership over content you create within the App.

9. Data and Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we handle your data. By using the App, you agree to the Privacy Policy.

10. Disclaimers

The App is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that:

• The App will be available at all times or free from errors
• Alarms will fire in every circumstance (device settings, OS restrictions, and battery optimisation may affect alarm delivery)
• AI-generated plans will be accurate, complete, or suitable for your needs
• Your data will never be lost (we recommend regular backups)

11. Limitation of Liability

To the maximum extent permitted by law, Simdan Labs Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App. This includes, but is not limited to, damages arising from:

• Missed alarms or failed notifications
• Loss of schedule data
• Reliance on AI-generated plans
• Service interruptions or downtime

Our total liability to you for any claims arising from use of the App shall not exceed the amount you have paid for the App in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Simdan Labs Ltd, its officers, employees, and affiliates from any claims, damages, or expenses arising from your breach of these Terms or misuse of the App.

13. Termination

We may suspend or terminate your access to the App if you violate these Terms. You may stop using the App at any time by uninstalling it. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and indemnification.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes through the App or on our website. Continued use of the App after changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
